These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TR Global Holding Inc ("Company," "we," "us," or "our"), a corporation registered in the State of Delaware, United States. By accessing or using our website and services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website, creating an account, enrolling in courses, applying for partnership programs, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

TR Global Holding Inc operates three primary divisions:

2.1 TR Global Academy

An educational platform offering online courses, certifications, and training programs in e-commerce, digital marketing, and business development. Course topics include but are not limited to:

• Amazon FBA (Fulfillment by Amazon) business setup and management
• Etsy marketplace optimization and selling strategies
• Shopify store development and management
• Meta (Facebook/Instagram) advertising and marketing
• TikTok advertising and content strategy
• E-commerce business fundamentals and scaling strategies

Courses are delivered through our digital learning platform with video content, written materials, assessments, and community features. Certifications are issued upon successful completion of program requirements.

2.2 TR Global Ventures

A managed e-commerce partnership program where investors provide capital and we manage the operational aspects of e-commerce businesses on their behalf. Services include:

• Amazon seller account setup and management
• Etsy shop creation and product listing management
• Shopify store development and operations
• Product sourcing, inventory management, and fulfillment coordination
• Marketing and customer service operations
• Monthly performance reporting and profit distribution

2.3 TR Global Foundation

A grant program designed to support aspiring entrepreneurs who demonstrate skill and potential but lack the capital to start their e-commerce businesses. The Foundation provides:

• Startup capital grants for qualified applicants
• Business mentorship and guidance
• Access to Academy resources and training
• Ongoing support and community membership

3. Account Registration

To access certain services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

4.1 Currency and Methods

All prices are quoted and all payments are processed in United States Dollars (USD). We accept payments through PayPal and Stripe. By providing payment information, you represent that you are authorized to use the payment method.

4.2 Course Payments

Course fees are due at the time of enrollment unless otherwise specified. Prices are subject to change, but changes will not affect existing enrollments. Promotional pricing and discounts are applied at our discretion and may be withdrawn at any time.

4.3 Partnership Program Investments

Investment amounts for the Ventures program are specified in your individual Partnership Agreement. Payment schedules, profit distribution terms, and capital return provisions are governed by that separate agreement.

4.4 Taxes

You are responsible for any applicable taxes, including sales tax, VAT, or other transaction taxes based on your location. We will collect and remit taxes where required by law.

5. Partnership Program Terms

Important: Participation in TR Global Ventures involves financial risk. The following terms apply to all partnership participants:

5.1 Nature of Investment

Your capital contribution is used to fund e-commerce business operations. These are real businesses subject to market conditions, platform policies, and operational risks. There is no guarantee of returns, and you may lose some or all of your invested capital.

5.2 Profit Sharing

Net profits (after operating expenses, platform fees, taxes, and management fees) are distributed according to the profit-sharing ratio specified in your Partnership Agreement. Profit distributions are made monthly, subject to minimum threshold requirements.

5.3 No Guaranteed Returns

We do not guarantee any specific return on investment. Past performance is not indicative of future results. Any projections or estimates provided are for illustrative purposes only and should not be relied upon as predictions of actual performance.

5.4 Minimum Commitment Period

Partnership investments require a minimum commitment period of six (6) months. Early withdrawal during this period is not permitted except in cases of documented hardship, subject to our approval.

5.5 Capital Return

After the minimum commitment period, you may request return of your capital with thirty (30) days written notice. Capital return is subject to the orderly liquidation of business assets and settlement of outstanding obligations.

5.6 Reporting

We provide monthly reports detailing business performance, revenue, expenses, and profit calculations. You agree that these reports constitute the official record for profit distribution purposes.

6. Intellectual Property

6.1 Our Intellectual Property

All content on our website and within our courses—including text, graphics, logos, images, videos, course materials, software, and trademarks—is owned by TR Global Holding Inc or our licensors and is protected by intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal, non-commercial educational purposes. This license does not include the right to:

• Reproduce, distribute, or publicly display our content
• Modify, create derivative works, or reverse engineer any materials
• Use our content for commercial purposes or to train competing products
• Share your account credentials or course access with others
• Record, screenshot, or capture course content for redistribution

6.3 User Content

You retain ownership of content you submit (forum posts, assignments, etc.), but grant us a worldwide, royalty-free license to use, display, and distribute such content in connection with our services.

7. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our services
• Use our services for fraudulent purposes
• Resell or commercially exploit our services without authorization
• Misrepresent your identity or affiliation

8. Disclaimers

8.1 Educational Content

Our courses provide educational information and are not professional advice. Results vary based on individual effort, market conditions, and other factors. We do not guarantee that applying course content will result in business success or specific income levels.

8.2 No Financial Advice

Nothing in our services constitutes financial, investment, tax, or legal advice. You should consult qualified professionals before making investment decisions or entering into partnership arrangements.

8.3 Service Availability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TR GLOBAL HOLDING INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Investment losses in the Ventures program
• Business interruption or failure

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless TR Global Holding Inc and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at info@inctrglobal.com to attempt informal resolution. We will endeavor to resolve disputes within thirty (30) days.

11.2 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or representative proceedings.

12. Termination

We may suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Partnership Agreements, constitute the entire agreement between you and TR Global Holding Inc regarding your use of our services.
